Wholesale Real Estate Contract PDF Template

Key Takeaways

• A wholesale real estate contract PDF is a legal template that lets a wholesaler secure property rights from a seller, then assign those rights to a cash buyer for a fee.
• Every wholesale deal requires two documents: a purchase agreement with the seller that contains an assignment clause, and a separate assignment agreement with the cash buyer.
• Investors accounted for 30% of all U.S. single-family home purchases at the close of 2025, according to Cotality, 2026.
• The guide advises a state-specific attorney review of any template before use, since wholesaling rules vary by state.

A wholesale real estate contract PDF is a legal document that allows you to secure a property from a seller and transfer your contract rights to a cash buyer for a fee. The contract must include an assignment clause explicitly permitting you to transfer your rights to a third party—most standard MLS-based purchase agreements prohibit assignment by default, which kills wholesale deals. You need two documents for every transaction: the purchase agreement with the seller (containing the assignment clause) and the assignment agreement with your cash buyer.

Before using any template, state-specific attorney review is essential. Wholesaling regulations vary significantly by state—Texas and Florida allow wholesaling with minimal licensing friction, while California requires stricter disclosures. A template compliant in one state may violate another state's assignment statutes or disclosure rules. If a seller won't allow assignment, you can execute a double-close instead, though this adds cost and time. Hiring a real estate attorney for a one-hour consultation to confirm template compliance with local law is a critical investment before deploying any contract to your team.

Investor buyers represented 30% of all U.S. single-family home purchases at the close of 2025, according to Cotality, 2026. That's the wholesaler's sweet spot. It also means tighter timelines, stricter legal scrutiny, and assignment clauses that don't survive seller review. Housing inventory rose 24.76% year-over-year in July 2025, flooding the market with deals that require faster execution and airtight contracts.[1]

A wholesale real estate contract PDF is a legal template that lets wholesalers secure property rights from sellers, then assign those rights to cash buyers for a fee. It requires two documents: a purchase agreement with an assignment clause, plus a separate assignment agreement. State laws vary significantly enough that attorney review before use isn't optional.

The difference between a template you found online and a contract reviewed by local counsel is the difference between closing deals and facing legal holds, failed assignments, and seller clawbacks. Your contract is your credibility. Below, you'll find what goes into a defensible wholesale contract PDF, which clauses actually survive seller scrutiny, and how to adapt templates to state-specific rules.

What Is the Short Version?

• Wholesale deals require two documents: a purchase agreement plus a separate assignment agreement, every time
• Blended cost per lead in real estate averages $342 (Promodo, 2025), every hour shaved off pre-contract friction improves ROI on that spend[4]

What Two Contracts Does Every Wholesale Deal Require?

Every wholesale deal requires two legally separate documents: a purchase agreement with the seller (containing an assignment clause) and an assignment agreement with the cash buyer. They're not interchangeable. They protect different parties and serve opposite purposes.

Key Statistics

• The average annual pay for a wholesale real estate professional is $55,699 as of early 2026 (ZipRecruiter 2026)
• Average wholesale assignment fees vary by state from $5,000 in Arizona to $22,000 in North Carolina and Georgia (Real Estate Bees 2025 survey)
• Real estate investors using skip tracing close 2–5% of contacted property owners, compared to less than 0.5% from cold calling random homeowners (Goliath Data 2026)
• The median U.S. luxury home price climbed 4.6% year-over-year to $1.31 million in December 2025, outpacing non-luxury price growth of 1.4% (Redfin 2025)

The purchase agreement shields the seller. It defines the property, price, earnest money, and contingencies. The assignment agreement protects the buyer, it transfers your rights under the first contract and specifies your fee.

Skipping either document creates enforceability gaps that institutional investors reject outright. Agents responding within 5 minutes are more likely to make contact with a lead, and wholesalers who deploy streamlined contract workflows and assignment processes similarly gain competitive advantage in deal closure rates.

Key insight: A properly drafted assignment clause in the purchase agreement is the dealmaker. Without it, your assignment agreement has nothing to assign, and the entire deal collapses before your cash buyer ever sees the property.

Most contract templates treat both documents as one, or omit the assignment agreement entirely. This confuses sellers, creates litigation exposure, and signals inexperience to institutional buyers looking for clean, assignable deals.

With housing inventory up 24.76% year-over-year in July 2025,[1] wholesalers face more deal flow but sharper scrutiny from the investor buyers who represented 30% of all U.S. single-family purchases at the close of 2025 (Cotality, 2026). Honestly, most Realtor-drafted purchase forms contain anti-assignment language that kills wholesale deals outright, and most wholesalers miss this until it's too late.

Frequently Asked Questions About Wholesale Contract PDFs

Why do standard Realtor-drafted purchase agreements often kill wholesale deals?

Most MLS-based purchase forms contain anti-assignment language that explicitly prohibits wholesalers from transferring contract rights to a third party. When a seller signs a standard form stating "assignment is not permitted without written consent," you've locked yourself out of your profit model. Under Restatement Second of Contracts § 317, assignments are allowed unless the contract restricts them, but Realtor forms restrict them by default. You either negotiate that language out upfront or you lose the deal.

Can you legally assign a contract in all 50 states?

Assignment is permitted in all 50 states at the contract law level, but state licensing laws, disclosure rules, and assignment limitations vary significantly. Texas and Florida allow wholesaling with minimal licensing friction; California requires stricter disclosures and has tighter restrictions on unlicensed activity.[5] Some states require wholesalers to hold a real estate license if they're earning an assignment fee. There's no one-size-fits-all PDF template that complies everywhere, attorney review per state is non-negotiable before you deploy any template to your team.

What's the difference between a purchase agreement and an assignment agreement?

The purchase agreement is your contract with the seller, it includes property details, purchase price, closing timeline, and the assignment clause that gives you the right to transfer the contract. The assignment agreement is your contract with the cash buyer, where you assign those rights for your fee. Without the assignment clause in the first contract, the second contract has nothing to assign. Both documents are required for every standard wholesale transaction.

If a seller won't allow assignment, can you still wholesale the deal?

Yes, but you're switching to a double-close structure, which adds cost and time. Instead of assigning your contract, you close on both sides: buy from the seller as the principal (using a transactional lender or cash), then immediately resell to your cash buyer. You're paying closing costs twice and the transactional lender takes a cut. In most cases, negotiating assignment language into the original contract upfront is cheaper and faster. If the seller is emotional, has an agent controlling the form, or the deal spread is wide enough to absorb double-close costs, the double-close becomes your fallback.

How do I know if a wholesale contract template I find online is legal in my state?

Don't assume any template is compliant without attorney review. Wholesaling regulations are state-specific and sometimes county-specific. A template that works in Texas may violate California disclosure rules or Florida's assignment statutes. Hire a real estate attorney in your state for a one-hour consultation, show them the template, and get written confirmation it complies with local law. That $200–$500 investment prevents far larger legal liability or deal collapse down the line.

How does mobile PDF execution connect to deal velocity?

Signing contracts on a tablet in real time eliminates the lag between initial seller conversation and executed agreement. Instead of emailing a document, waiting for revisions, and scheduling a follow-up, you fill in the contract together, explain each clause, and get a signature on the spot. With blended cost per lead averaging $342 in real estate (Promodo, 2025),[4] every hour you shave off the pre-contract conversation improves your return on that lead spend. The faster you lock in a contract, the faster you can begin due diligence and reach your buyer network.

Your next step: Pull your current purchase agreement template and locate the assignment clause. If it's missing, generic, or borrowed from a Realtor form, take it to a real estate attorney in your primary market this week. One reviewed, state-compliant template is the foundation every other piece of your wholesale operation builds on.
