Terms of Service

1. Introduction and Acceptance
These Terms of Service (the “Terms”) govern your access to and use of the websites, platform, applications, data, and services provided by Goliath Data (“Goliath Data,” “we,” “us,” or “our”), including goliathdata.com and the Goliath Data platform (collectively, the “Service”). By accessing or using the Service, creating an account, or purchasing a subscription, you (“you,” “your,” or the “Client”) agree to be bound by these Terms. If you do not agree, do not access or use the Service.
If you use the Service on behalf of a company or other organization, you represent and warrant that you are authorized to bind that organization to these Terms, and “you” refers to that organization.
2. Definitions
“Service” means the Goliath Data website, platform, applications, data, and related services. “Acceptable Use Policy” or “AUP” means our Acceptable Use Policy, which is incorporated into these Terms by reference. “Subscription” means a paid plan providing access to the Service. “Customer Data” means the data, contacts, lists, and other content you submit to or generate through the Service.
3. Eligibility and Accounts
You must be at least 18 years old and able to form a legally binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it up to date, and to notify us promptly at [email protected] of any unauthorized use of your account.
4. The Service and License to Use
Subject to these Terms and your payment of all applicable fees, Goliath Data grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your internal business purposes. We may modify, update, suspend, or discontinue any part of the Service, in whole or in part, at any time.
5. Intellectual Property
The Service and all associated software, content, features, and materials, and all intellectual property rights in them, are and remain the exclusive property of Goliath Data and/or its licensors. All rights are reserved. Except for the limited license granted in these Terms, no right, title, or interest in the Service is transferred to you.
Except as expressly permitted, you must not:
Copy, reproduce, duplicate, republish, or redistribute any material from the Service;
Sell, rent, lease, sub-license, or otherwise commercialize any part of the Service; or
Reverse engineer, decompile, or create derivative works from the Service.
Goliath Data’s names, logos, and trademarks may not be used without our prior written permission.
6. Your Content and Customer Data
You retain ownership of your Customer Data. You grant Goliath Data a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and use Customer Data as necessary to provide, maintain, secure, and improve the Service and as described in our Privacy Policy. You are solely responsible for your Customer Data, including its accuracy, your right to submit and use it, and ensuring that your collection and use of it comply with all applicable laws.
7. Acceptable Use and Legal Compliance
Your use of the outreach, contact-management, skip-tracing, and communication features of the Service — including text messaging, calling, email, and physical mail — must comply with all applicable laws. You are solely responsible for determining that you have a lawful basis and the legal right to contact each individual you contact through the Service, and for complying with all laws governing that contact.
Depending on the channel you use, these laws may include, without limitation, the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the National Do Not Call Registry and applicable state Do Not Call lists, and state telemarketing, solicitation, consent, and registration laws — including, without limitation, Texas Senate Bill 140 and the Florida Telephone Solicitation Act. You are responsible for honoring opt-out, STOP, unsubscribe, and do-not-call requests, respecting applicable calling and messaging hours, and maintaining any registrations, bonds, disclosures, or carrier approvals (including A2P 10DLC registration) your outreach requires.
Goliath Data provides tools that you direct and control. We do not obtain, verify, supply, or store consent on your behalf, and we do not review the lawfulness of your contacts or content before they are sent. You are the sender of all communications you initiate through the Service, and you — not Goliath Data — are responsible for your compliance.
When you import contacts or launch a campaign, you may be required to affirm the representations above for the applicable channel. Those affirmations are a condition of your use of the Service, and you agree they are true each time you make them. Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference.
8. Fees, Billing, and Refunds
All fees and charges for the Service are earned when paid and are non-refundable, except where a refund is required by applicable law. Except as expressly stated in these Terms, you are not entitled to any refund, credit, or reimbursement for any reason, including non-use or partial use of the Service; downtime, delays, or interruptions; data availability, accuracy, completeness, or timeliness; feature changes, service modifications, or discontinued offerings; or termination or cancellation of your account by you or by us. Free trials and promotional or complimentary access are provided at our discretion and create no entitlement to any refund or credit.
Cancellation of plans with staffed calling is governed by the Cancellation of Scale Plans section below, which controls over the general no-refund rule to the extent of any conflict. Amounts billable during the required notice period remain due and non-refundable.
9. Cancellation of Scale Plans with Staffed Callers
For any subscription plan that includes staffed calling services (including but not limited to Scale plans with dedicated or shared callers), you must provide no less than thirty (30) days’ written notice prior to cancellation. Cancellation requests submitted without the required notice period will remain billable through the end of the thirty (30) day notice period. Fees incurred during the notice period are non-refundable and will be charged in accordance with your then-current plan and usage.
10. Payment Disputes and Chargebacks
If you believe a charge is incorrect, you agree to contact us at [email protected] before initiating a chargeback or payment dispute. You agree that initiating a chargeback or dispute for a charge validly incurred under these Terms is a breach of these Terms, and that we may suspend your access pending resolution. You remain responsible for all amounts owed, plus any fees we incur in responding to an improper dispute, to the extent permitted by law.
11. Third-Party Services and Data Sources
The Service integrates with and relies on third-party services and data sources, including payment processors, communication carriers and messaging providers, Google services, and third-party and public data sources. Your use of such third-party services may be subject to their own terms and policies. Goliath Data is not responsible for third-party services or for the accuracy, completeness, or availability of third-party or public data.
12. Data Accuracy and Availability
Goliath Data aggregates information from various third-party and public data sources. While we endeavor to provide useful and relevant information, we make no representations or warranties regarding the accuracy, completeness, reliability, timeliness, or availability of any data or content. We are not liable for any decisions made, actions taken, or outcomes resulting from your reliance on data or information made available through the Service.
13. No Service Level Agreement
Unless otherwise expressly agreed to by us in a separate written agreement, we do not provide or guarantee any service level agreement, uptime commitment, support response time, or performance warranty of any kind. We do not guarantee that the Service will always be available or uninterrupted, nor that any results, data, or insights will be accurate, complete, current, or reliable. Use of the Service is at your own discretion and risk.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under applicable law.
15. Limitation of Liability
Goliath Data’s liability under these Terms for any claim is limited to direct damages only. Goliath Data’s total liability shall not exceed the total fees you paid to Goliath Data for the services that are the subject of the claim during the six (6) months preceding the claim.
Goliath Data is not liable for any indirect, special, incidental, or consequential damages that may arise from the use of, or inability to use, the Service. This includes, but is not limited to, loss of profits, data, or business interruption, damage to reputation, loss of anticipated savings, or wasted expenditure. This exclusion applies even if Goliath Data has been advised of the possibility of such damages. Nothing in this section limits liability that cannot be excluded under applicable law, including a party’s liability for its own fraud, gross negligence, or willful misconduct.
16. Indemnification
You agree to indemnify, defend, and hold harmless Goliath Data and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with:
Your use of the services provided under these Terms and the Acceptable Use Policy;
Any breach or non-compliance by you with any term of these Terms or the Acceptable Use Policy; and
Any claim that your actions or use of the services infringe upon, violate, or misappropriate any third party’s rights or cause harm to a third party.
Goliath Data shall not be liable for any fines, penalties, or damages resulting from TCPA or related complaints. You acknowledge that you are solely responsible for ensuring compliance with all applicable laws and regulations regarding the use of telemarketing services in your area.
17. Termination
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if we believe you have violated these Terms or the Acceptable Use Policy, or as necessary to comply with applicable law or carrier requirements. You may cancel your Subscription in accordance with the Fees, Billing, and Refunds and Cancellation sections above.
Upon termination, your right to access and use the Service ceases. If your access is suspended or terminated due to a violation of these Terms, you shall not be entitled to any refund, credit, or compensation of any kind. Provisions that by their nature should survive termination — including those relating to fees, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
18. Third-Party Links
The Service may contain links to third-party websites or resources that are not owned or controlled by Goliath Data. We are not responsible for the content, policies, or practices of any third-party sites or resources, and we strongly advise you to review the terms and privacy policies of any third-party site you visit. Your use of third-party sites is at your own risk.
19. Privacy and Cookies
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share information, including through cookies and similar technologies. By using the Service, you consent to the practices described in the Privacy Policy.
20. Changes to These Terms
We may modify these Terms at any time. We will post the updated Terms and revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.
21. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-laws principles. Subject to any arbitration provision below, the state and federal courts located in Hamilton County, Tennessee shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue.
21.1 Arbitration and Class-Action Waiver [optional — for counsel review]
[If adopted:] Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, and not in court, except that either party may bring an individual claim in small-claims court. You and Goliath Data waive any right to a jury trial and agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. This provision should be reviewed and finalized by counsel before use.
22. General
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Force Majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control.
Entire Agreement. These Terms, together with the Acceptable Use Policy and Privacy Policy, constitute the entire agreement between you and Goliath Data regarding the Service and supersede any prior agreements.
