Wholesale Contract PDF: Protect $13K Assignment Fees [2026]

Wholesale assignment fees average $13,000 nationwide, but wholesalers in North Carolina and Georgia collect $22,000 per deal, while those in Arizona average just $5,000 (Real Estate Bees, 2025).[1] That gap isn't random. It's driven by contract language. A generic PDF from the internet won't protect your fee from liquidated damages clauses, non-reassignment loopholes, or state regulators who didn't exist two years ago. Pennsylvania, Connecticut, Oklahoma, and South Carolina all enacted wholesaling laws in 2025–2026 that made standard templates legally risky, and most wholesalers don't know it.

A wholesale real estate contract PDF is a legal agreement granting you the right to assign a property to an end buyer for a fee. Free templates exist, but those 2026 regulatory changes require state-specific clauses to protect your assignment fee from liquidated damages disputes and non-reassignment loopholes. A single missing clause can cost you thousands. An attorney review runs $150–$400 and takes a day. Losing a deal to bad contract language costs months and zero profit.

Below, you'll find free, regulatory-compliant contract PDFs for every major state, the exact clauses that protect your assignment fee at closing, and how to calculate backwards from ARV to set your fee before you even sign.

TL;DR

• Generic templates expose your $13,000 average fee to $5,000–$30,000 disputes under 2026 Pennsylvania, Connecticut, Oklahoma, and South Carolina rules
• A liquidated damages cap, non-reassignment prohibition, and assignment fee disclosure addendum are the four contract clauses that legally lock in your fee

Generic Contract Templates Expose Your Assignment Fee Under 2026 Rules

Most free PDFs online miss state-specific regulatory language enacted in 2025 and 2026. One missing clause can cost you $5,000 to $30,000 per deal.[4]

Key Statistics

• The average annual pay for a wholesale real estate professional is $55,699 as of early 2026 (ZipRecruiter 2026)
• Title insurance costs approximately 0.5% of the mortgage amount for lender's coverage, and 0.5-1% of property value for owner's coverage (Rocket Mortgage 2025)
• Real estate investors using skip tracing close 2–5% of contacted property owners, compared to less than 0.5% from cold calling random homeowners (Goliath Data 2026)
• The median U.S. luxury home price climbed 4.6% year-over-year to $1.31 million in December 2025, outpacing non-luxury price growth of 1.4% (Redfin 2025)

Here's what changed. Pennsylvania's wholesaling act (January 2025) requires written disclosure of your assignment fee before contract signing. Connecticut's HB 7287 (effective July 1, 2026) mandates wholesaler registration and upfront fee transparency. Oklahoma, South Carolina, Maryland, Tennessee, and North Dakota all enacted new anti-assignment or double-close-only rules in 2025–2026.

The phrase "and/or assigns" that worked in 2024 is now insufficient in six states. It no longer protects your right to assign without explicit buyer consent and documented fee disclosure.

The cost math is straightforward. A real estate attorney reviews state-specific addenda for $150–$400 (AmeriSave, 2026).[2] Losing a deal to non-refundable earnest money disputes or civil complaints costs $5,000–$30,000. The nationwide average assignment fee is $13,000 (Real Estate Bees, 2025).[1] One missing clause wipes that out and then some. Worth noting: these cost ranges reflect reported disputes, not guaranteed outcomes. Your actual exposure depends on your state and deal size.

Honest caveat: The $5,000–$30,000 dispute range comes from reported wholesaler losses, not a controlled study. Your actual exposure depends on deal size and which state you're operating in. But even at the low end, it dwarfs a $150–$400 attorney review.

Four Contract Clauses That Actually Protect Your Assignment Fee at Closing

Four clauses separate wholesalers who collect their fees from those who don't: the liquidated damages cap, the non-reassignment prohibition, the assignment fee disclosure addendum, and the closing timeline trigger.

The Liquidated Damages Cap: Your Real Safety Net

Most wholesalers assume earnest money protects them. It doesn't. A liquidated damages clause limits the buyer's financial exposure to earnest money only, not your assignment fee. Without it, you're technically liable if the buyer stalls closing and claims breach.

Your clause must specify a timeline: "If Buyer fails to close within 60 days of contract execution, earnest money becomes non-refundable, and Buyer forfeits the right to assign this contract." No timeline means no protection. The buyer can stall indefinitely while you're stuck waiting.

The Non-Reassignment Prohibition: Stop Them From Wholesaling Your Deal

This one's simple but widely overlooked. If your contract allows reassignment, the end buyer can flip the deal to a third party, and that third party keeps your fee. The fix is one sentence: "Buyer may not assign this contract to any third party without Seller's written consent. Assignment creates a separate obligation to pay Assignor the buyer $[fee amount] at closing."

The Assignment Fee Disclosure Addendum: Document Everything Upfront

In April 2025, median home prices sat at $414,000 with inventory up 31% year over year (AmeriSave, 2026).[2] Tighter margins mean buyers push back harder at closing when they feel surprised by your fee. A signed disclosure addendum kills that argument before it starts.

Frequently Asked Questions

Why do generic wholesale contract templates expose me to losing my assignment fee?

Generic templates omit state-specific regulatory language enacted in 2025–2026. Pennsylvania's Act (January 2025), Connecticut's HB 7287 (July 1, 2026), and new wholesaling laws in Oklahoma, South Carolina, Maryland, Tennessee, and North Dakota all require disclosure, registration, or double-close mechanics that free templates don't address.[1] Missing one anti-reassignment clause or liquidated damages cap leaves your fee exposed to buyer disputes and civil complaints ranging from $5,000 to $30,000 per deal. An attorney review costs $150–$400; losing one deal costs multiples of that.

Does the 70% MAO rule protect my assignment fee margin in 2026's tighter market?

Yes, but only if you calculate it correctly and confirm the buyer's profit before setting your fee. The formula (property value × 70% − repair costs = buyer's max offer) ensures the end buyer has a cushion to absorb your fee without cutting into their profit. In April 2025, median existing-home prices hit $414,000 and inventory climbed 31% year over year (AmeriSave, 2026).[2] If the buyer's profit disappears after your fee, they'll push back at closing or refuse to sign the assignment addendum.

Can a buyer in Oklahoma or South Carolina reassign my contract to another wholesaler?

Not if your contract includes a non-reassignment prohibition clause. Oklahoma and South Carolina enacted double-close-only rules in 2025–2026, meaning you must close twice: once with the original seller, once with the end buyer. The title company manages the transaction flow and prevents reassignment. But if you're using a generic template without a state-specific addendum, a buyer can still attempt to reassign before the double close. Verify current state statutes 72 hours before closing and coordinate fee mechanics with the title company upfront.

What's the difference between a liquidated damages clause and an earnest money deposit?

Earnest money is what the buyer deposits upfront as a good-faith gesture, typically 1–3% of contract price. A liquidated damages clause specifies that if the buyer walks, their penalty is limited to that earnest money amount, not your assignment fee. Without this clause, some buyers argue they owe nothing if they back out before the assignment addendum is signed. The clause legally ties the buyer's financial risk to a fixed amount and gives you time to find a replacement buyer before you lose the deal.

Should I use the same template for a $2 million commercial building that I use for a $250,000 residential flip?

No. Commercial assignments require investor-buyer vetting, due diligence windows of 30–60 days versus 7–14 days for residential, and different fee structures. A 2% assignment fee on a $2 million commercial building yields $40,000, but that fee only holds if your buyer is a qualified institutional investor with proof of funds (AmeriSave, 2026).[2] REO and HUD home contracts prohibit assignment entirely, forcing double closes. Use asset-class-specific templates.

If I disclose my assignment fee upfront and the end buyer signs the addendum, can they sue me for fraud later?

In most cases, no. A written disclosure signed by the end buyer and witnessed by the title company creates a clear paper trail. But if the addendum omits the specific fee amount, payment method, or fails to identify you as the assignor, the buyer can argue they didn't have full transparency. Connecticut's HB 7287 mandates this disclosure by July 1, 2026. Your addendum must document your name as assignor, the exact fee amount, how it's paid (from lender proceeds, seller side, or seller credit), and the buyer's signed acknowledgment.
