Wholesaling Assignment Contracts: 10 States [2026]

Key Takeaways

• A wholesale assignment contract passes a wholesaler's purchase contract to an end buyer and protects the assignment fee by defining the wholesaler's role as middleman.
• Six clauses protect the fee: clear assignment language, a separate fee clause, non-assignable contingencies, dispute resolution and governing law, signature authority confirmation, and disclosure compliance.
• Pennsylvania, Connecticut and several other states have passed or proposed transparency measures requiring wholesalers to disclose before the seller signs whether they intend to assign the contract.
• A non-compliant assignment contract can be ruled unenforceable, which can cost the wholesaler the assignment fee.
• A local real estate attorney should review every state-specific template, and templates should be reviewed quarterly.

Wholesaling assignment contracts protect your fee by clearly defining your role as the middleman between a seller and end buyer. A poorly written or state-non-compliant assignment contract can cost you thousands in lost profits, unenforceable clauses, or legal disputes. Understanding which states regulate these contracts and what protective language matters most will ensure your deals close cleanly and your assignment fee stays intact.

What Are the Main Points on Wholesale Assignment Contracts?

• Assignment contracts must comply with your state's real estate and consumer protection laws; some states have specific transparency or disclosure requirements that affect how you structure your contract language.
• Core protective clauses include clear assignment language, non-assignable contingencies, dispute resolution terms, and explicit fee disclosures to avoid enforceability challenges.
• Several states have recently tightened rules around wholesale disclosures and transaction transparency, making outdated templates a liability rather than a time-saver.

Why Does Assignment Contract Language Matter?

A wholesale assignment contract is the legal mechanism that allows you to pass your purchase contract to a buyer (usually a cash investor or house flipper) and collect your assignment fee. The contract must accomplish three critical tasks: transfer your rights and obligations to the buyer, protect your fee from challenge or dispute, and comply with local real estate law.

The problem many wholesalers face is using generic templates that lack state-specific language or fail to address modern regulatory requirements. Recent state legislation has tightened transparency rules and disclosure obligations in real estate wholesale transactions. If your contract language does not reflect these changes, a buyer or title company could refuse to close, or worse, a state regulator could flag the transaction as non-compliant.

What Protective Clauses Does Every Assignment Contract Need?

A wholesale assignment contract needs six protective clauses, summarized below and explained in detail after the table.

• Clear Assignment Language: The contract must explicitly state that you are assigning your rights and obligations under the original purchase agreement to the end buyer. Vague or ambiguous language invites disputes over whether the assignment was valid.
• Separate Fee Clause: Your assignment fee should be stated as a separate line item, not buried in the purchase price. This clarity protects you if a title company or lender reviews the file. Ambiguous fee language can trigger re-negotiations or deal cancellations.
• Non-Assignable Contingencies: Some contingencies (like seller's right to market the property during inspection periods, or a lender approval requirement specific to the original buyer) should explicitly remain with you, not transfer to the assignee. This prevents the new buyer from invoking contingencies that don't apply to them.
• Dispute Resolution and Governing Law: Specify which state's law governs the contract and include a clause stating whether disputes go to arbitration or court. This prevents costly jurisdictional battles.
• Signature Authority Confirmation: Include language confirming that all signers have authority to execute and that the contract is binding on heirs, successors, and assigns. This protects you if ownership changes or legal questions arise later.
• Disclosure Compliance: Explicitly reference any state-required disclosures (e.g., wholesaler identity, profit margin, assignment fee) to show good faith and reduce regulatory risk.

Which States Regulate Wholesale Assignment Contracts?

Several states have enacted or are actively considering legislation that affects how wholesale assignment contracts must be structured. While not all states regulate wholesale transactions with dedicated statutes, many require specific disclosures or hold wholesalers to transparent dealing standards. This is not an exhaustive list, but it highlights jurisdictions where contract language and practice have come under greater scrutiny.

States with heightened wholesale transaction requirements typically mandate that the wholesaler clearly disclose their role, the assignment fee amount or method of calculation, and sometimes even the profit margin between the original purchase price and the ultimate sale price. Some jurisdictions also require that the wholesaler obtain written consent from the seller before assigning the contract, or that the assignment clause be explicitly stated in the original purchase agreement presented to the seller.

Pennsylvania, Connecticut, and several other states have recently passed or proposed transparency measures. These laws generally require that wholesalers disclose whether they intend to assign the contract before the seller signs, and that the assignment fee or profit be clearly separated from the purchase price. Failure to comply can result in contract voidability or regulatory penalties.

If you operate in multiple states, using a one-size-fits-all template is a mistake. Each contract should be reviewed by a local real estate attorney familiar with your state's current wholesale rules before you present it to a seller or buyer. This is especially important if your state has passed legislation in the last 12 to 24 months.

What Are the Red Flags in Outdated Assignment Contracts?

• No Explicit Assignment Language: Contracts that simply say "buyer may assign" without defining the terms of the assignment or the assignee's obligations create ambiguity and enforceability issues.
• Fee Hidden in Purchase Price: If your assignment fee is rolled into the purchase price without a separate line item, title companies, lenders, or buyers may demand clarification or re-negotiation at closing.
• Missing Disclosure Statements: If your state requires wholesaler identity or fee disclosure, and your contract omits this language, you risk the contract being deemed void or the deal stalling.
• No Governing Law or Dispute Language: Contracts without these provisions leave both parties uncertain about which state's law applies and how conflicts will be resolved, leading to expensive litigation.
• Vague or Missing Contingency Language: If contingencies are not clearly marked as transferring or remaining with the wholesaler, the end buyer may claim rights you did not intend to give them.

How Do You Future-Proof Your Assignment Contracts?

Start by hiring a local real estate attorney to draft or review an assignment contract template specific to your state. Ask them to confirm compliance with any recent wholesale legislation or regulatory guidance from your state's real estate commission or attorney general. A one-time investment of a few hundred dollars will save you thousands in deal delays or legal fees later.

Next, make sure your contract includes a clear, dated disclosure statement that identifies you as the wholesaler, states your assignment fee (whether as a flat amount, percentage, or other calculation), and confirms that the seller and buyer understand and consent to the assignment. Keep a signed copy of this disclosure with every deal file.

Finally, review your contract templates quarterly. If your state passes new wholesale legislation or your local title company or lender raises concerns about your contract language, update your template immediately. Do not assume that a contract that worked six months ago will work today.

How Do Title Companies and Lenders Treat Assignment Contracts?

Title companies and lenders often flag wholesale assignments if the contract language is ambiguous or non-compliant. Before you present your contract to a seller, run it by a title company or lender to confirm they will accept it. This step prevents last-minute surprises at closing and ensures your deal structure is bankable.

Many title companies now require that the assignment agreement be recorded or submitted to them in advance so they can underwrite the fee transfer. Build this process into your workflow to avoid delays.

Frequently Asked Questions

Can I assign a contract in every state?

Most states allow contract assignment unless the contract explicitly prohibits it or state law restricts it. However, some states have recently passed transparency laws requiring disclosures before a wholesaler can assign. A few states also require the seller's written consent to assignment. You should always check your specific state's requirements and have your contract reviewed by a local attorney before presenting it.

What happens if I use a contract that does not comply with my state's laws?

An non-compliant contract can be ruled unenforceable, which means you may lose your assignment fee if the buyer refuses to pay or if a court sides with another party. Additionally, some states impose penalties on wholesalers who operate outside of legal requirements. You could face regulatory fines or cease-and-desist orders. The safest approach is to work with a local attorney to ensure your contract meets all applicable requirements.

Do I need a separate document for the assignment, or can it be part of the purchase contract?

You can structure it either way, but clarity is critical. Some wholesalers use a separate assignment agreement that references the original purchase contract, while others include the assignment language directly in the purchase contract presented to the seller. The key is ensuring all parties know an assignment may occur, understand the fee structure, and have clarity on which party is responsible for which obligations. Work with your attorney to determine which approach is clearest and most legally sound in your state.

How should I disclose my assignment fee to the seller?

Disclose your fee upfront, in writing, as a separate line item or percentage. If your state requires specific language or a particular format (e.g., a separate wholesaler disclosure form), follow that requirement exactly. Do not bury your fee in the purchase price or phrase it ambiguously. Clear disclosure protects you legally and builds trust with sellers and buyers, reducing the risk of disputes or deal cancellations.
